Who we are and what we provide

KAMP Agency ("KAMP", "we", "us") is a TikTok Shop and live commerce agency. We run shop operations, LIVE programs, affiliate programs, reporting and customer service for brands. BaseKamp is our client portal, where brands see their shop performance and where our team works on their behalf.

Our paid work is governed by the written agreement or order we sign with each brand. If it conflicts with these terms, that agreement controls.

Authorizing KAMP to access a shop

• KAMP only accesses a TikTok Shop that its owner has authorized through a TikTok Shop Partner app. You confirm that you have the authority to give that authorization.
• We use that access only for the services you have engaged us for, within the permissions you approved.
• You can revoke access at any time in TikTok Shop Seller Center. Revoking access may limit or end the services we can provide.
• You remain responsible for your shop, your listings, and your compliance with TikTok Shop's own terms and policies.

Customer service app

Where a brand enables our customer service app, KAMP staff read buyer conversations and prepare draft replies, with help from an AI drafting tool. A person at KAMP reviews and approves each reply before it is sent. We aim for accurate and helpful replies, but a brand should give us accurate policies and product information, and tell us promptly if something changes.

Your account and acceptable use

• Keep your login details private, and tell us right away if you think your account has been misused.
• Use the services lawfully, and in line with TikTok's and TikTok Shop's rules.
• Do not attempt to access data that is not yours, probe or disrupt our systems, scrape the portal, or reverse engineer our software.
• Do not use the services to send spam, deceptive content, or anything that infringes someone else's rights.

We may suspend access if these rules are broken or if needed to protect the service or other clients.

Data and privacy

How we handle data is described in our Privacy Policy. As between you and KAMP, your shop data stays yours. You allow us to use it to provide the services and as described in the Privacy Policy, and for nothing else.

Ownership

KAMP owns the website, BaseKamp, our software, report templates, and brand, including the KAMP name and logo. You own your own shop data, listings, brand assets and content. Where we create content for you under an agreement, ownership is set by that agreement.

Third-party services

Our services depend on TikTok Shop and other third parties. We do not control them, and changes they make, including to their policies, fees, or availability, can affect what we can deliver.

No guarantee of results

Sales results depend on many things outside our control, including products, pricing, inventory, platform changes and demand. Reports and forecasts are estimates. We do not guarantee any level of sales or growth.

Disclaimer and limit of liability

The website and portal are provided "as is" and "as available". To the fullest extent the law allows, KAMP disclaims all warranties not stated in a signed agreement, and is not liable for indirect, incidental, special or consequential damages, or for lost profits or revenue. Our total liability for any claim relating to the website or portal is limited to the greater of the amount you paid us in the 12 months before the claim or $100. Nothing in these terms limits liability that cannot be limited by law.

Ending the relationship

You can stop using the services at any time and revoke KAMP's access to your shop. We can end or suspend access as described above. When the relationship ends, we handle your data as set out in the Privacy Policy.

Governing law

These terms are governed by the laws of the State of New York, without regard to its conflict of laws rules. Disputes will be brought in the state or federal courts located in New York County, New York, unless a signed agreement says otherwise.

Changes

We may update these terms. When we do, we will change the effective date above. Continued use after a change means you accept the updated terms.
